Kindly note that certain confidential and/or proprietary information concerning Palladium Equity Partners, L.L.C. and certain Palladium-sponsored investment vehicles and/or certain entities in which such Palladium-sponsored investment funds hold or contemplate acquiring an investment (together with all affiliates, “Palladium”), including, without limitation, information concerning financial results, actual or projected sales or profits, products, services, properties, personnel, legal and regulatory affairs, equipment, technology, and other intellectual property, marketing plans and strategies, and business acquisition agreements and/or plans (the “Confidential Information”) will be shared with Annual Meeting attendees.

As a condition to your attendance, we respectfully request your binding agreement that all Confidential Information will be handled in the manner set forth herein.

You (individually and on behalf of your affiliates, agents and the entity/entities or person(s) you represent):

agree to maintain the confidentiality of all Confidential Information furnished by Palladium, except as required by law, governmental regulatory agencies (including tax authorities in connection with an audit or other similar examination), or other legal process;

acknowledge and agree that Palladium may elect at any time to terminate any further access to the Confidential Information;

agree that upon any such termination, you will promptly return to Palladium or destroy, at Palladium’s election, all Confidential Information, including but not limited to materials distributed at the Annual Meeting, and confirm in writing to Palladium that all such material has been returned or destroyed, as applicable, in compliance with this agreement;

waive, in advance, any claims against Palladium or any of its representatives in connection with your attendance at the Annual Meeting;

agree that, if you are required by law or requested (by oral questions, interrogatories, requests for information, subpoena, civil investigative demand, or other legal process) to disclose any Confidential Information, to the extent not legally prohibited, you shall provide Palladium with prompt written notice of such requirement or request(s) so that Palladium may seek an appropriate protective order and/or agree to a limited waiver of your obligations under this agreement. If, in the event an order of protection or limited waiver has been sought but not granted, and you and your representatives are nonetheless legally compelled to disclose Confidential Information, you may disclose only that portion of such information as is legally required without liability hereunder; provided, that you will agree to exercise reasonable best efforts to obtain assurance that confidential treatment will be accorded to such information and shall provide prompt written notice of such disclosure to Palladium to the extent permitted;

agree not use in any manner any Confidential Information obtained by the Attendee in any legal proceedings against Palladium or its representatives; and further

acknowledge and agree that Canadian and United States securities laws limit the circumstances in which any person who has material, non-public information about a company from purchasing or selling securities of such company and prohibit any such person from communicating such information to any other person under circumstances in which it is reasonably foreseeable that such person is likely to purchase or sell such securities; and further
